Terms of Service

1. Provider

Kayloo Control (TM) is a software-as-a-service offering provided by Norcrest Technologies (TM), 166, River Heights, 90 High Street, London E15 2GQ, United Kingdom. These Terms govern access to and use of Kayloo Control (TM), including its public site, customer login, control plane, and related services.

2. Service description

Kayloo Control (TM) is a control-plane platform for governed, externally effective autonomous operations. The service is designed to support agent and robotic workflows, deterministic qualification, authority-relevant transition recording, and verification-oriented evidence handling.

The service is not a promise of uninterrupted availability, nor a warranty that any particular machine-generated output will be authorised, accepted, or executed.

3. Eligibility and authority

You may use the service only if you have authority to bind the organisation on whose behalf you are accessing it, or you are an authorised user acting within a valid organisational account. You are responsible for ensuring that all users, credentials, and integrations connected to your account are appropriately controlled.

4. Accounts and access

Access may be provided through email/password login, federated identity login, or both. You are responsible for safeguarding credentials, controlling access to user accounts, and notifying Norcrest Technologies (TM) promptly of any suspected unauthorised access.

We may suspend or restrict access where necessary to protect the service, maintain integrity, address abuse, investigate security concerns, or comply with law or regulation.

5. Customer responsibilities

You agree not to use Kayloo Control (TM):

  • for unlawful, fraudulent, deceptive, or abusive activity;
  • to circumvent governance, qualification, or verification controls;
  • to interfere with the integrity, availability, or security of the service;
  • to upload or submit content you do not have the right to use;
  • to reverse engineer, copy, or misuse the service beyond applicable law and contract.

You remain responsible for your workflows, connected systems, downstream actions, legal obligations, and operational decisions.

6. Fees and billing

Paid subscriptions, usage-based charges, and commercial terms are governed by your order, plan, statement of work, or subscription checkout terms. Fees are due as stated at purchase and are non-cancellable during the applicable billing period unless required by law or expressly stated otherwise.

7. Data and service outputs

You retain responsibility for the data, requests, policies, workflow definitions, and operational inputs you submit to the service. Subject to applicable law and the rights necessary to operate the service, you retain your rights in your customer content.

Norcrest Technologies (TM) may process service data to provide, secure, maintain, support, and improve the service, including logging, evidence handling, debugging, and operational monitoring.

8. Intellectual property

Kayloo Control (TM), its software, platform design, branding, site content, interfaces, and related materials remain the property of Norcrest Technologies (TM) and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during the applicable subscription term and in accordance with these Terms.

9. Confidentiality

Each party agrees to protect the other party’s confidential information using reasonable care and not to disclose it except as required to perform under these Terms, comply with law, or exercise legal rights. Confidential information does not include information that is public through no fault of the recipient, already lawfully known, independently developed, or lawfully received from a third party without confidentiality obligation.

10. Availability and changes

We may update, modify, enhance, suspend, or discontinue all or part of the service from time to time. We will use reasonable efforts to avoid materially adverse disruption, but we do not guarantee that every feature or interface will remain unchanged.

11. Disclaimers

The service is provided on an “as is” and “as available” basis, except to the extent otherwise expressly stated in a signed agreement. To the maximum extent permitted by law, Norcrest Technologies (TM) disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, Norcrest Technologies (TM) will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity.

To the maximum extent permitted by law, the aggregate liability of Norcrest Technologies (TM) arising out of or relating to the service or these Terms will not exceed the greater of: (a) the fees paid by you for the service during the twelve months preceding the event giving rise to the claim; or (b) GBP 1,000.

13. Termination

You may stop using the service at any time. We may suspend or terminate access if you breach these Terms, create material risk to the service or others, fail to pay applicable fees, or where termination is required for legal, regulatory, or security reasons.

14. Governing law

These Terms are intended to support customers operating in the UK, EU, and US. Unless otherwise agreed in writing, these Terms are governed by the laws of England and Wales, excluding conflict of law rules. The courts of England and Wales will have exclusive jurisdiction, except where applicable consumer or mandatory local law provides otherwise.
